Following the bankruptcies of FTX, BlockFi, Voyager Digital, and other cryptocurrency platforms, the U.S. Securities and Exchange Commission (SEC) ratcheted up its enforcement of anti-fraud and securities regulations in the crypto scene. The results suggest that finding cases wasn’t difficult: in 2023 alone, the SEC took 26 cryptocurrency enforcement actions.
Gensler said in a statement at the time that Binance and its founder, Changpeng Zhao, had engaged in an extensive “web of deception” while the SEC’s X account posted a graphic highlighting a key piece of evidence of alleged wrongdoing: a quote from Binance’s chief compliance officer saying to another employee in 2018, “We are operating as a fking unlicensed securities exchange in the USA bro.”
It is a new day at the SEC. Policymaking will no longer result from ad hoc enforcement actions. Instead, the Commission will utilize its existing rulemaking, interpretive, and exemptive authorities to set fit-for-purpose standards for market participants. The Commission’s enforcement approach will return to Congress’ original intent, which is to police violations of these established obligations, particularly as they relate to fraud and manipulation.
This undertaking requires coordination across multiple offices and divisions within the Commission, which is why I am pleased that Commissioner Uyeda and Commissioner Peirce have worked together to establish the Crypto Task Force. For too long, the Commission has been plagued by policymaking siloes. The Crypto Task Force exemplifies how our policy divisions can come together to expeditiously provide long-needed clarity and certainty to the American public.
First, I intend for the Commission to establish clear and sensible guidelines for distributions of crypto assets that are securities or subject to an investment contract. Only four crypto asset issuers have conducted registered offerings and offerings pursuant to Regulation A. Issuers have largely avoided these types of offerings, in part, due to challenges in satisfying the associated disclosure requirements. In cases where the issuer does not intend to distribute ordinary securities, such as stock, bonds, or notes, issuers also struggle to determine whether a crypto asset constitutes a “security” or is subject to an investment contract.
Crypto ETFs are pooled investments that track crypto markets but are traded like shares on stock exchanges and are accessible through brokerage platforms. ETFs offer several benefits over other investments, such as debt-based exchange-traded products (ETPs) or investment trusts that were previously approved for cryptocurrencies. ETFs are regulated under the Investment Company Act of 1940, which provides more investor protection and transparency than ETPs or trusts. ETFs also offer greater liquidity since they can be easily bought and sold on stock exchanges throughout the day, and they often have lower fees than other investment products.
